1. About these Terms

These Terms and Conditions ("Terms") govern your use of thegamehers.com and any related pages, community spaces, programs, events and services we operate (together, the "Services"). The Services are operated by Good Game Group INC, doing business as the*gamehers ("the*gamehers", "we", "us", "our"), 1111B S Governors Ave STE 25961, Dover, DE 19904, United States.

By using the Services, you agree to these Terms. If you do not agree, please do not use the Services. Some programs, such as the*gamehers Awards, contests and giveaways, have their own official rules, which apply in addition to these Terms. If they conflict, the program rules control for that program.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use the Services. If you are under 18, you may use the Services only with the permission and supervision of a parent or legal guardian, who agrees to these Terms on your behalf.

3. Privacy

Our Privacy Policy explains how we collect, use and protect your personal information. Please read it before using the Services. It forms part of these Terms.

4. Our content and intellectual property

The Services and their content, including text, graphics, logos, the*gamehers name and marks, designs, images, videos and software, are owned by or licensed to Good Game Group INC and its affiliates and are protected by copyright, trademark and other laws.

We grant you a limited, personal, non-exclusive, non-transferable and revocable license to view and use the Services for your own non-commercial purposes. You may share links to our pages and use our social sharing features. You may not reproduce, redistribute, sell or create derivative works from our content, or register or use our trademarks, without our written permission.

5. Content you submit

You may submit content to us, such as nominations, bios, headshots, photos, blog posts, comments, testimonials and other materials ("Your Content"). You keep ownership of Your Content.

By submitting Your Content, you grant the*gamehers and its affiliates a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, publish, distribute, adapt (for example, to resize or format) and promote Your Content in connection with the Services and our programs, including on our website, newsletters and social channels. This license lasts until you ask us to remove Your Content, except for copies already shared publicly or kept for legal reasons.

You confirm that you own or have permission to share Your Content, that it does not violate anyone's rights or any law, and that you have permission from any person shown or named in it. If you nominate someone, you confirm that the information you give is accurate and that you are sharing it in good faith.

6. Acceptable use

You agree not to:

  • copy, republish, sell, sublicense or otherwise commercialize material from the Services without permission;
  • use the Services in any way that damages them, disrupts other users' access, or tries to gain unauthorized access to our systems;
  • scrape, data mine, harvest or extract data from the Services, including by automated means;
  • post or send content that is unlawful, harassing, hateful, discriminatory, threatening, sexually explicit, misleading or that infringes anyone's rights;
  • impersonate any person or misrepresent your affiliation with anyone, including the*gamehers;
  • upload viruses or other harmful code;
  • use the Services to send spam or unauthorized advertising or marketing; or
  • use the Services in violation of any applicable law or regulation.

We may remove content or suspend or end your access to the Services if we reasonably believe you have broken these Terms.

7. Community spaces and third-party services

Our community may meet on third-party platforms, such as Discord and social media. Your use of those platforms is governed by their own terms and privacy policies, and by any community guidelines we post there. The Services may also link to third-party websites. We do not control and are not responsible for third-party sites, services or content.

8. Awards, contests and prizes

When you take part in the*gamehers Awards or any contest, giveaway or program, the official rules for that program apply. Unless those rules say otherwise:

  • prizes, including gift cards, digital rewards and merchandise, are non-transferable and cannot be exchanged for cash;
  • we may ask winners to confirm eligibility and provide information needed to deliver prizes or meet legal requirements;
  • winners are responsible for any taxes on prizes; and
  • we may substitute a prize of equal or greater value if a prize becomes unavailable.

Programs are void where prohibited by law.

9. Affiliate links and partnerships

Some links on the Services are affiliate or partner links, or come with promo codes. If you make a purchase through them, we may earn a commission or other benefit at no extra cost to you. Purchases from partners are made with the partner, under the partner's terms.

10. Purchases

If we offer products or services for sale, the following applies in addition to any terms shown at checkout:

  • prices, descriptions and availability may change, and we may correct errors or cancel orders affected by them;
  • payments are processed by third-party payment processors, and you agree to provide accurate billing information;
  • applicable taxes and shipping costs will be shown before you complete your order; and
  • refunds and returns are handled under the policy shown at the time of purchase. If you are a consumer in the EEA or UK, you may also have a legal right to cancel within 14 days, as described at checkout.

11. Copyright complaints

If you believe content on the Services infringes your copyright, email us at ops@gggroupinc.com with: your contact details; a description of the work; the location of the material on the Services; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and, where appropriate, end the accounts of repeat infringers.

12. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure.

13. Limitation of liability

To the fullest extent permitted by law, the*gamehers, Good Game Group INC and their affiliates, officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Services.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence, or your mandatory rights as a consumer.

14. Indemnification

You agree to indemnify and hold harmless the*gamehers, Good Game Group INC and their affiliates from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Services, Your Content, or your breach of these Terms. We may choose our own legal counsel and will let you know of any such claim.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any dispute relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

If you are a consumer in the EEA, UK or another country whose laws give you the right to bring claims in your local courts or under your local law, nothing in this section takes away those rights.

16. Changes and termination

We may update these Terms from time to time. We will change the "Last updated" date above and, for material changes, give notice on the Services or by email where we have your address. If you keep using the Services after changes take effect, you accept the updated Terms.

We may suspend or end the Services, or your access to them, at any time. Sections that by their nature should survive, such as intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive termination.

17. General

These Terms, together with our Privacy Policy and any program rules, are the entire agreement between you and us about the Services and replace any prior agreements. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition or sale of assets.
